The association shall indemnify its officers, directors, staff, and agents
against all expenses and liabilities, including counsel fees, reasonably
incurred by or imposed upon them in connection with any proceeding to
which they may be made a party or in connection with any proceeding to
which they may be made a party or in which they may become involved.
Such indemnification shall apply except in cases wherein the officer,
director, staff member, or agent is adjudged guilty of willful misfeasance
or malfeasance in the performance of his duties or unlawful acts. This
indemnity shall cover expenses of suit, litigation or other proceedings
which is permissible under applicable law. The Board of Directors may,
at its discretion, direct the purchase of liability insurance to implement the
provisions of this Article and Section of the Bylaws.
These Bylaws may be altered, amended, or repealed, by vote of the
members of the Association at an Annual Business Meeting, or at any
regular or Special Meeting of the members, if notice of the proposed
alteration, amendment, or repeal, is contained in the notice of such
Regular or Special Meeting.
